Terms of Service
1. Acceptance of Terms
By accessing or using GatherLogic ("the Service"), operated by Keystone Logix LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including free and paid account holders.
2. Description of Service
GatherLogic is an event management and community platform that allows users to create and join groups, organize events, RSVP to events, communicate with other members, and access related features. We offer both free and paid subscription plans.
We reserve the right to modify, suspend, or discontinue the Service or any part thereof at any time, with or without notice.
We do not guarantee uninterrupted availability of the Service and may perform maintenance that temporarily affects access.
We may offer beta, preview, or experimental features. Such features are provided "as-is" and may be modified or discontinued at any time.
3. Platform Nature
GatherLogic provides software tools that enable users to create groups, organize events, and communicate with members. GatherLogic does not organize, host, supervise, control, endorse, or guarantee any group, event, organizer, attendee, venue, or activity listed through the Service.
All interactions between users, including attendance at events, are solely between the participants involved.
Nothing in these Terms creates any partnership, joint venture, employment, agency, or fiduciary relationship between GatherLogic and any user, organizer, or attendee.
4. Event Participation Risks
Users acknowledge that participation in events involves inherent risks. By attending or participating in any event discovered through the Service, users voluntarily assume all risks associated with such participation.
GatherLogic is not responsible for injuries, losses, damages, disputes, or other incidents arising from attendance at any event.
Users are responsible for exercising appropriate judgment and caution when interacting with other users and attending events.
5. Organizer Responsibilities
Organizers are solely responsible for:
- The accuracy of event information
- Compliance with applicable laws
- Obtaining required permits or licenses
- Maintaining appropriate insurance where required
- Conducting events in a safe and lawful manner
GatherLogic is not responsible for organizer actions or omissions.
6. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We do not knowingly provide the Service to individuals under the age of 18.
7. User Accounts
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials and not share your password
- Notify us immediately of any unauthorized access to or use of your account
- Be responsible for all activities that occur under your account
We reserve the right to disable any account at any time if, in our sole discretion, you have violated any provision of these Terms.
We may retain account information and content as necessary for legal compliance, fraud prevention, dispute resolution, enforcement of these Terms, and legitimate business operations.
8. Paid Subscriptions
Subscription Plans
GatherLogic offers optional paid subscription plans that provide access to additional features and higher usage limits. Details of available plans and their pricing are described on our pricing page.
Usage Limits
We may establish and enforce usage limits, including limits on groups, events, attendees, storage, communications, or other resources based on subscription level.
Billing and Payment
By subscribing to a paid plan, you authorize us to charge your chosen payment method on a recurring basis for the applicable subscription fee. Subscription fees are billed in advance for each billing period (monthly or annual, as selected).
All fees are stated in US dollars and are exclusive of any applicable taxes. You are responsible for any taxes, duties, or levies applicable to your subscription.
Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee at the start of each renewal period.
Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription remains active through the end of the current billing period. No prorated refunds are issued for unused portions of a billing period. Please refer to our Refund Policy for full details.
Pricing Changes
We reserve the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price changes. Your continued use of a paid subscription after a price change takes effect constitutes your acceptance of the new pricing.
Failed Payments
If a payment fails, we may suspend or downgrade your account to the free plan until payment is resolved. You are responsible for maintaining valid payment information on your account.
9. User Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Harass, abuse, threaten, or harm other users
- Post false, misleading, defamatory, or inappropriate content
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorized access to the Service or any related systems or networks
- Interfere with or disrupt the integrity or performance of the Service
- Use automated systems (bots, scrapers, crawlers) to access the Service without our prior written permission
- Upload or transmit viruses, malware, or any other malicious code
- Collect or harvest personal information of other users without their consent
- Use the Service to send unsolicited commercial messages (spam)
- Engage in fraud, abuse, illegal activities, or circumvent subscription limits
We reserve the right to immediately suspend accounts that engage in fraud, spam, malware distribution, abuse, illegal activities, or circumvention of subscription limits.
10. Content
Your Content
You retain ownership of content you post on the Service, including group descriptions, event details, photos, and messages ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute your User Content for operating, maintaining, improving, promoting, and providing the Service.
Content Standards
User Content must not:
- Violate any applicable law or regulation
- Infringe any third party's intellectual property or privacy rights
- Be sexually explicit, hateful, harassing, or violent
- Promote illegal activities or organizations
- Contain false or misleading information
Content Removal
We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion, without notice.
Copyright Complaints
If you believe your copyrighted work has been copied in a way that constitutes copyright infringement on the Service, please notify us at legal@gatherlogic.com with the following information:
- Your physical or electronic signature
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material on the Service that is claimed to be infringing
- Your contact information, including address, telephone number, and email address
- A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner
- A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner
Repeat Infringer Policy
We reserve the right to remove any content that we believe infringes upon the intellectual property rights of others. In appropriate circumstances, we will terminate the accounts of users who repeatedly upload copyrighted material without authorization.
11. Intellectual Property
The Service and its original content, features, design, and functionality (excluding User Content) are owned by Keystone Logix LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without our express written permission.
12. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
13. Third-Party Services
The Service may integrate with or link to third-party services, including Google for authentication. Your use of any third-party service is subject to that service's own terms and privacy policy. We are not responsible for the content, practices, or policies of third-party services.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEYSTONE LOGIX LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
16. Force Majeure
Neither party shall be liable for delays or failures resulting from causes beyond reasonable control, including natural disasters, internet outages, labor disputes, governmental actions, acts of God, or failures of telecommunications providers, hosting providers, cloud infrastructure providers, payment processors, or other third-party service providers.
17. Indemnification
You agree to indemnify, defend, and hold harmless Keystone Logix LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your events or activities
- Your User Content
- Your violation of these Terms
- Your violation of any law or third-party rights
18. Termination
We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting a notice on the Service or sending an email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation.
If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the State of Florida. The parties agree to resolve disputes through binding arbitration on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration. The parties also waive any right to a jury trial. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
21. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Keystone Logix LLC regarding the Service and supersede all prior agreements.
